Log of material updates
Material changes are recorded here as they are made.
This log records material changes — to a reference article, a commentary entry, an agenda briefing, a prompt, or a glossary term — as they are made. Each entry carries the date, the article affected, and a short note on the change. Pre-release editorial work is not itemised; it is summarised in the first-edition entry below.
2026-05-21 — Post-release polish
- Tornetta v. Musk: Delaware Supreme Court reversal pinned to its precise date (19 December 2025).
- Home page and reference section index: removed the "Draft" status badges that survived the v1 release.
- Search index regenerated to reflect the post-release content state.
2026-05-05 — First edition
The Good Board is published as a first edition. The corpus at release comprises:
- Eight reference articles: Director Duties under Swiss Law; Independent Oversight in Board-Level Disputes; Litigation Readiness for Swiss Boards; Shareholder Disputes under Swiss Law; Corporate Criminal Exposure; Litigation Funding and Governance Implications; Board Duties in the Governance of AI Systems; Decision-Making Under Uncertainty for Swiss Boards.
- Six commentary entries: BGE 151 IV 258 (2025); 4A_62/2024 (Papierschlamm); Tornetta v. Musk (Del. Ch. 2024; reversed by the Delaware Supreme Court December 2025); BTI v Sequana (UKSC 2022); Marchand v. Barnhill (Del. 2019); ARAG/Garmenbeck (BGH 1997).
- Fourteen agenda briefings, organised in three lanes — ordinary times, facing a decision, in distress.
- Eight prompts, beginning with a privilege-and-confidentiality preamble.
- Glossary of Swiss corporate-governance terms in English.
- Search across the English corpus.
- DE / FR / IT / RM mirrors at translation-draft state, marked as such on each page.
Material updates from this date onward will appear above this entry in reverse-chronological order, each with date, article, and a short note on the change.
